Terms and conditions governing your use of BlackForce's education, finance, careers, ventures, mentorship, and study abroad services.
Effective Date: February 2026. By using BlackForce services, you agree to these Terms. Please read them carefully before enrolling.
1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of BlackForce's website, platforms, applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
If you are enrolling a minor (aged 13 to 18) in the University Preparatory Academy (UPA), you agree to these Terms on their behalf as their parent or legal guardian. You are responsible for the minor's compliance with these Terms.
BlackForce reserves the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
2. Services Overview
BlackForce provides technology training, career development, financial services, venture incubation, mentorship, and study abroad opportunities. Our Services include but are not limited to:
Education: Continuous Professional Development (CPD) for adults 25+, Early Stage Career Development (COHORT) for youth 18 to 25, and University Preparatory Academy (UPA) for teenagers 13 to 18. Programmes include live and on-demand training, certification preparation, internships, and career support.
Finance: Skill Capitalization (outcome-based investment funding), Tuition Loans (structured financing for programme fees and accommodation), and related financial products. These are subject to additional terms specific to each financial product.
Careers: Unpaid internships, paid work experience placements, employer marketplace profiles, and career placement services.
Ventures: Venture incubation through MicroAgent AI Dev Lab, seed funding opportunities, and business development support for COHORT graduates.
Mentorship: 1-on-1 mentorship, group sessions, buddy mentorship, and Book-a-Mentor on-demand access.
Study Abroad: International study opportunities at BlackForce partner locations.
3. Eligibility & Registration
To register for BlackForce Services, you must provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information and for all activity under your account.
Age requirements: Adults CPD programmes require you to be at least 25 years old. COHORT programmes are designed for individuals aged 18 to 25. UPA programmes are for teenagers aged 13 to 18 and require parent or guardian registration and consent.
Financial services (Skill Capitalization, Tuition Loans) require you to be at least 18 years old and meet specific eligibility criteria as described in the relevant financial product terms.
BlackForce reserves the right to refuse or terminate registration at our discretion, including where we have reason to believe that information provided is inaccurate, incomplete, or fraudulent.
4. Programme Enrolment & Delivery
Enrolment in a BlackForce programme constitutes a commitment to participate in the programme as described at the time of enrolment. Programme details, schedules, delivery formats, and curriculum content are provided for informational purposes and may be subject to change.
BlackForce will make reasonable efforts to deliver programmes as advertised. However, we reserve the right to modify programme content, schedules, delivery methods, instructors, and mentors as necessary to maintain quality and respond to industry changes.
Programme completion requires meeting attendance thresholds, assessment requirements, and any other criteria specified in your programme guide. Certification eligibility is determined by your programme performance and the requirements of the certifying body.
BlackForce does not guarantee certification outcomes, employment, specific salary levels, or business success as a result of completing our programmes. While we provide comprehensive training, career support, and placement services, individual outcomes depend on many factors beyond our control.
5. Financial Terms
Programme fees, payment schedules, and financing terms are set out in your enrolment agreement and any applicable financial product agreements. All fees are stated in the currency specified at the time of enrolment.
Tuition Loans: If you finance your programme through a BlackForce Tuition Loan, the loan terms (including interest rate, repayment schedule, and grace period) are set out in your loan agreement. Failure to meet repayment obligations may result in additional charges, reporting to credit agencies, or legal action.
Skill Capitalization: If you participate in Skill Capitalization, the earnings share terms (including percentage, duration, income threshold, payment cap, and hardship provisions) are set out in your individual Skill Capitalization Agreement. These agreements are legally binding contracts.
BlackForce financial products are subject to separate terms, risk disclosures, and regulatory requirements. Please review the Risk Disclosure and Investment Disclaimer documents before entering into any financial agreement.
BlackForce is not a bank, credit institution, or regulated financial advisor. Our financial products are structured as commercial agreements and are subject to the regulatory frameworks applicable in the relevant jurisdictions.
6. Internships & Paid Work Experience
Unpaid internships are a structured component of BlackForce programmes. Participation is mandatory for programme completion. Internships are educational in nature and do not constitute employment by BlackForce or the host organisation.
Paid work experience placements are selective and based on performance, certifications, mentor recommendations, and availability. Not all learners will be offered paid placements. BlackForce facilitates matching but does not guarantee paid work opportunities.
During internships and paid placements, you are expected to conduct yourself professionally, meet deadlines, maintain confidentiality of client and project information, and comply with the policies of the host organisation.
BlackForce is not responsible for the actions, decisions, or workplace conditions of third-party employers or host organisations. While we vet our partners and maintain relationships, the employment or placement relationship is between you and the employer.
7. Employer Marketplace
The BlackForce employer marketplace allows verified skill profiles to be listed and viewed by employer partners. By opting into the marketplace, you consent to your verified skill data, certification status, portfolio, and relevant performance data being visible to registered employers.
You may opt out of the employer marketplace at any time. Opting out will remove your profile from employer search results but will not affect your programme enrolment or other services.
BlackForce facilitates introductions and matching between learners and employers but does not guarantee employment. Hiring decisions are made by employers at their discretion.
Employers accessing the marketplace agree to BlackForce's Employer Terms and are required to use learner data only for recruitment and hiring purposes.
8. Ventures & Intellectual Property
Ventures incubated through MicroAgent AI Dev Lab are subject to separate venture agreements covering equity arrangements, funding terms, intellectual property rights, and ongoing obligations.
Intellectual property created by learners during their BlackForce programme (including projects, code, designs, and deliverables) remains the learner's property unless otherwise agreed in writing. BlackForce may use anonymised project examples for marketing and training purposes.
BlackForce's brand, logos, training materials, curriculum, AI models, and platform technology are the intellectual property of BlackForce and may not be reproduced, distributed, or used without written permission.
9. Code of Conduct
Users of BlackForce Services are expected to treat all participants, staff, mentors, and partners with respect and professionalism. The following behaviour is prohibited and may result in suspension or termination of your account:
Harassment, bullying, discrimination, or abusive behaviour toward any person associated with BlackForce.
Academic dishonesty, plagiarism, or fraudulent representation of certifications, skills, or qualifications.
Sharing confidential information about other learners, mentors, employers, or clients without authorisation.
Misuse of BlackForce platforms, including spamming, hacking, or attempting to access data or accounts belonging to others.
Any activity that is illegal, fraudulent, or harmful to BlackForce's reputation or operations.
BlackForce reserves the right to investigate complaints and take appropriate action, including warnings, suspension, or permanent removal from our Services. For serious violations, we may report matters to relevant authorities.
10. Limitation of Liability
To the maximum extent permitted by law, BlackForce's total liability to you for any claim arising from or related to the Services is limited to the amount you have paid to BlackForce in the 12 months preceding the claim.
BlackForce is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost opportunities, or loss of data, even if we have been advised of the possibility of such damages.
BlackForce does not guarantee uninterrupted or error-free operation of our platforms. We are not liable for losses arising from technical failures, service disruptions, or third-party service outages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
11. Dispute Resolution
If you have a dispute with BlackForce, we encourage you to contact us first to attempt to resolve it informally. Most issues can be resolved through direct communication.
If informal resolution is not successful, disputes will be resolved through the courts of England and Wales, and these Terms are governed by English law, unless a different jurisdiction is specified in your programme or financial agreement.
For financial disputes related to Skill Capitalization or Tuition Loans, the dispute resolution process specified in your individual agreement will take precedence over these general Terms.
12. Termination
You may terminate your account at any time by contacting BlackForce. Termination of your account does not automatically cancel financial obligations (Tuition Loans, earnings share agreements) or ongoing contractual commitments.
BlackForce may suspend or terminate your access to Services for violation of these Terms, non-payment of fees, or any other reason set out in these Terms or your programme agreement.
Upon termination, you retain access to any certification credentials you have earned. Access to training materials, platform features, and mentorship services will cease.
13. General Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire agreement: These Terms, together with your programme agreement, financial agreements, and any other written agreements between you and BlackForce, constitute the entire agreement between the parties.
Waiver: Failure by BlackForce to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it in the future.
Assignment: You may not assign or transfer your rights or obligations under these Terms without BlackForce's written consent. BlackForce may assign its rights and obligations to a successor or affiliate.
